Constellation Brands Announces Expiration of Tender Offers for Outstanding Series of Its 3.20% and 4.25% Senior Notes Due 2023 and Delivery of Notices of Redemption for Remaining 3.20% and 4.25% Senior Notes Due 2023

VICTOR, N.Y., May 09, 2022 (GLOBE NEWSWIRE) — Constellation Brands, Inc. (NYSE: STZ and STZ.B), a leading beverage alcohol company, announced today that the previously announced series of cash tender offers (the “Offers”) for any and all of its outstanding 3.20% Senior Notes due 2023 (the “3.20% notes”) and 4.25% Senior Notes due 2023 (the “4.25% notes” and, together with the 3.20% notes, the “2023 Notes”), expired on Friday, May 6, 2022 at 5:00 p.m., New York City time (the “Expiration Time”). The Offers were made on the terms and subject to the conditions set forth in the Offer to Purchase, dated May 2, 2022 (the “Offer to Purchase”) and the related Notice of Guaranteed Delivery attached to the Offer to Purchase (the “Notice of Guaranteed Delivery”). The Offer to Purchase and the Notice of Guaranteed Delivery are referred to together as the “Offer Documents.”

According to information provided by D.F. King & Co., Inc., the tender agent and information agent for the Offers, (i) $401,778,000, or 66.96%, of the $600,000,000 outstanding aggregate principal amount of the 3.20% notes and (ii) $680,128,000, or 64.77%, of the $1,050,000,000 outstanding aggregate principal amount of the 4.25% notes had been validly tendered and delivered (and not validly withdrawn) in the Offers at or prior to the Expiration Time. In addition, $35,000 aggregate principal amount of 3.20% notes and $252,000 aggregate principal amount of 4.25% notes remain subject to guaranteed delivery procedures. Payment for the 2023 Notes validly tendered pursuant to the Offers (and not validly withdrawn) prior to the Expiration Time and accepted for purchase is intended to be made on or around May 9, 2022 (the “Settlement Date”), and payment for the 2023 Notes validly tendered pursuant to a Notice of Guaranteed Delivery (and not validly withdrawn) prior to the Expiration Time and accepted for purchase is intended to be made on or around May 11, 2022 (the “Guaranteed Delivery Settlement Date”).

As previously announced, the applicable “Tender Offer Consideration” will be $1,008.81 for each $1,000 principal amount of 3.20% notes and $1,015.39 for each $1,000 principal amount of 4.25% notes, plus accrued and unpaid interest to, but not including, the Settlement Date, payable on the Settlement Date or the Guaranteed Delivery Settlement Date, as applicable.

The Offers were made solely pursuant to the Offer Documents and were not made to holders of 2023 Notes in any jurisdiction in which the making or acceptance thereof would not be in compliance with the securities, blue sky, or other laws of such jurisdiction.

Redemption of Remaining 2023 Notes

Additionally, the company announced today that it has given notice for full redemption prior to maturity of all of its remaining outstanding 2023 Notes to be effected on June 8, 2022.

The redemption price for the 2023 Notes, payable in cash, will be calculated pursuant to the formula set forth in the supplemental indentures relating to the 2023 Notes, and will include an expected total make-whole premium of approximately $7 million (after giving effect to the transactions contemplated by the Offers).

The Offers and redemptions of the 2023 Notes will be funded from a portion of the net proceeds from the recently completed sale by the company on May 9, 2022 of its 3.60% Senior Notes due 2024, 4.35% Senior Notes due 2027, and 4.75% Senior Notes due 2032.

New Bus Stops Start Operate

 

Following the complete closure of the Multi-Storey Car Park Building which houses the Bandar Seri Begawan Bus Terminal, the new bus stops started operating yesterday at Jalan Kianggeh and Jalan McArthur areas.

 

The daily operating hours of public bus services are from 6 in the morning to 8 in the evening according to the designated routes. The new public bus stop facility is for passenger pick-up and drop-off services only.

 

In this regard, the public should always prioritise safety while at bus stops according to best practices. They must use pedestrians crossing when crossing the road, especially when heading to the bus stop; Adopt a tolerant attitude while queuing for buses and give priority to passengers who are more in need; as well as maintain cleanliness of the environment and infrastructure of bus stop facilities from time to time.

 

In the meantime, the Land Transport Department, Ministry of Transport and Infocommunications urged the public to always comply with COVID-19 SOPs in tackling the spread of the pandemic.

Leaders to Meet as US Trails China in Economic Support for Southeast Asia

A summit this week will put pressure on Washington to match China’s economic development support for Southeast Asia, a region of 680 million people, experts say.

Southeast Asian countries want to avert overdependence on Chinese trade and investment, analysts believe. But they say the region has found relatively little help from the United States. The prospect of more U.S. economic support could underpin a U.S.-ASEAN Special Summit set for Thursday and Friday.

“There has been a lot of emphasis on the political and security aspects, and the economic initiatives seem to be lagging behind,” said Aaron Rabena, research fellow at the Asia Pacific Pathways to Progress Foundation in Manila.

Leaders from ASEAN — the 10-member Association of Southeast Asian Nations bloc — will meet American business representatives, U.S. Trade Representative Katherine Tai and Department of Commerce Secretary Gina Raimondo at the summit Thursday to “discuss economic cooperation,” according to an agenda outline.

China key to trade, investment

China and the United States compete in much of the world for the support of smaller countries, as the government in Beijing expands overseas economically as well as militarily.

U.S. officials wary of China’s influence over Southeast Asia periodically send warships to the South China Sea and hold joint military exercises with countries such as the Philippines.


Foreign trade and direct investment represent income for the tens of millions of Southeast Asians living in poverty.

China has been ASEAN’s largest trading partner since 2008, and their trade totaled about $731.9 billion in 2020, the Chinese state-controlled news website Global Times reported.

U.S. goods and services trade with ASEAN came to about $362.2 billion in 2020, according to data from the Office of the U.S. Trade Representative.

ASEAN’s 2020-2021 investment report shows that the United States ranked as the top source of foreign direct investment in 2020 at $34.7 billion, ahead of China at $12 billion.

But Southeast Asian countries such as Cambodia and Malaysia benefit from the $4 trillion-plus Chinese Belt and Road Initiative, a 9-year-old development strategy that builds infrastructure throughout Eurasia to help open trade routes.

The United States lacks a global Belt-and-Road equivalent, though it launched a program in 2020 to help the five Mekong River ASEAN states ease rainfall droughts and provide COVID-19 relief.


As a command economy, China can step up trade and investment quickly, analysts say.

“China has all the levers,” said Shahriman Lockman, senior foreign policy and security studies analyst with the Institute of Strategic and International Studies in Malaysia. “Basically, the state is able to deploy those economic levers quite easily, whereas it’s not so straightforward for the United States.”

For Washington, he said, the levers “would need to make money.”

U.S. role in Southeast Asia

ASEAN is comprised of Southeast Asian countries Brunei, Cambodia, Laos, Indonesia, Malaysia, Myanmar, the Philippines, Singapore, Thailand and Vietnam. They accept Chinese trade and investment but don’t want to be “totally exposed” to China, Lockman said.

Brunei, Malaysia, the Philippines and Vietnam dispute tracts of the South China Sea with Beijing, which claims 90% of the resource-rich waterway and has a military lead over the other countries. The United States backs the Philippines and Vietnam in resisting Chinese expansion in the sea.

Southeast Asian factories depend on Chinese companies as a source of raw materials, while consumers look to China for shipments of inexpensive daily goods.

Southeast Asian countries hope the United States will do more to end its 4-year-old trade dispute with China before import tariffs on both sides spill into other parts of the economy, said Jayant Menon, visiting senior fellow with the ISEAS-Yusof Ishak Institute’s Regional Economic Studies Program in Singapore.

The U.S. Securities and Exchange Commission is now eyeing 80 Chinese firms for possible removal from American stock markets, a key source of capital.

“I guess ASEAN leaders would be keen to get some reassurance that there is a commitment towards resolving this trade war sometime down the track,” Menon said.

Liu Pengyu, spokesperson for the Chinese embassy in Washington, D.C., encouraged the United States to do more for Asia.

“China hopes that when participating in regional cooperation with East Asia countries, the U.S. will abandon the Cold War mentality and … do more things conducive to regional peace, development and prosperity,” he said.

Too early for deals?

The summit this week will not produce any formal economic-related agreements, experts predict. But language in any joint statements could signal where the ASEAN goes next with the United States, Rabena said.

Biden will meet ASEAN leaders on Friday to “recognize (an) ASEAN central role in delivering sustainable solutions to the region’s most pressing challenges,” White House press secretary Jen Psaki told reporters last week.

Statements from the summit will probably allude to avoidance of future health crises, measures to ease climate change and steps toward a “green” economy, Menon said.

Ministry of Health has updated its Policy on Visits to Government Hospitals

Following the current COVID-19 situation in Brunei Darussalam, the Ministry of Health has updated its Policy on Visits to Government Hospitals effective yesterday, 9th May 2022.

 

Patients must have Green or Yellow BruHealth code. Red or Purple BruHealth code is allowed ONLY if admitted to wards or in need of medical treatment. Patients must wear masks at all times and maintain physical distancing.

 

For outpatients: They must have proof of negative ART within 24 hours. Those without BruHealth or proof of negative ART are required to perform ART at designated ART swab stations using their own or personal ART kits.

 

Visitors must report at the allocated checkpoints with Green or Yellow BruHealth code and proof of negative ART within 24 hours. Only two designated visitors, excluding carers, are allowed per patient during every visit session.

 

Children under the age of 12 are not allowed to enter wards or units. Visitors are only allowed to visit patients in cold zone wards. Only one visitor allowed to accompany patient for appointment or medicine collection. All visitors must wear masks at all times and maintain physical distancing.

 

Carers must report at the allocated checkpoints before entry to wards including obstetric ward and labour room. Must have Green or Yellow BruHealth code and show to the staff on duty at the nurse’s station or reception counter proof of negative ART.

No Approval Issued From the Ministry Of Health

The Ministry of Health advises the public to be vigilant and not to fall prey into buying herbal or supplement products with excessive advertisements and promotions on social media sites in which it’s authenticity is unknown. This follows Lianhua Qingwen and Lianhua Qingwen Jiaonang products with unsubstantiated claims that it can be used to prevent or treat COVID-19.

 

Lianhua Qingwen and Lianhua Qingwen Jiaonang products manufactured in China contain Ephedra. The continuous use of ephedrine without the advice and supervision of a registered medical practitioner may cause side effects such as Headache; Nausea and Increased high blood pressure. So far, the Ministry of Health has not issued any approval or registration for such products. Suppliers and sellers are reminded not to make any false or unfounded claims. The offence of making a false or unfounded claim is punishable with a fine not exceeding $5,000 or imprisonment not exceeding 2 years or both.

Wild Animal Disturbances Increased

The Fire and Rescue Department received 46 reports of wild animal disturbances in 2021. From January to the 26th of April this year, 21 calls were received and one of them involved a crocodile attack incident. Statistics from the Forestry Department’s annual report last year, stated, 31 cases were complaints of crocodile disturbances.

 

To address the issue, the Forestry Department through the action team has installed 24 sets of traps, rods and nets in 2021 and 13 sets for 2022, in all districts according to reported locations. To-date, 4 crocodiles have been successfully caught. The public are advised to ensure the environment is clean as well as to always be alert and vigilant while conducting activities on the river or predator habitats. Face-to-face school sessions for all students including those aged 5 to 11, who attend government and private primary education as well as religious schools and special centres, will begin this Saturday. The school session this time is open regardless of the vaccination status of the students. “Siuknya Ke Sekolah” is one of the programmes that will be held when the children return to school after a long time of online learning. The matter was touched on by the Acting Director of Schools during an interview with yesterday Rampai Pagi Show.

 

The programme will further improve the quality of children’s minds and make students have more fun, excited and more motivated to attend school. The Ministry of Education and the Ministry of Religious Affairs has provided a ‘whole school medication approach’ as well as guidelines and comprehensive measures for schools to open for face-to-face sessions in order to safeguard the welfare of students and school staff in addition to the existing ‘Business Continuity Plan, BCP’.

 

Doctor Sheikh Lukman Bin Sheikh Abdul Hamid, said the schools with the support and advice from the Ministry of Health have prepared SOPs and guidelines that must be complied and adhered to by the school community, especially students. In addition to conducting body temperature checks on the students’ at the entrance, the schools have also prepared a re-fencing strategy, the method provided to reduce the infection related to the spread of COVID-19 if there are students who attend school show any symptoms and they will be asked to go to the isolation room.
