Synchronoss Technologies, Inc. Announces Pricing of $125 Million Public Offering of Senior Notes

BRIDGEWATER, N.J., June 25, 2021 (GLOBE NEWSWIRE) — Synchronoss Technologies, Inc. (SNCR) (the “Company” or “Synchronoss”), a global leader and innovator in cloud, messaging and digital products and platforms, today announced the pricing of an underwritten public offering of $125 million aggregate principal amount of 8.375% senior notes due 2026, including the exercise in full by the underwriters of the underwriters’ option to purchase an additional $5 million aggregate principal amount of senior notes. The offering is expected to close on or about June 30, 2021, subject to satisfaction of customary closing conditions.

Synchronoss and the senior notes both received a rating of BB- from Egan-Jones Ratings Company, an independent, unaffiliated rating agency. The Company has applied to list the senior notes on the Nasdaq Global Select Market under the symbol “SNCRL” and expects the notes to begin trading within 30 business days of the closing date of the offering, if approved.

All of the senior notes in the offering are being sold by Synchronoss. Synchronoss anticipates using the net proceeds from the offering, and from the offering of common stock and sale of Series B Preferred Stock (each as described below), to fully redeem all outstanding shares of Synchronoss’ Series A Convertible Participating Perpetual Preferred Stock and repay amounts outstanding under Synchronoss’ revolving credit facility.

B. Riley Securities, Inc. (“BRS”) is acting as the sole book-running manager for the offering. Northland Capital Markets, Aegis Capital Corp. and EF Hutton, division of Benchmark Investments, LLC are acting as lead managers for the offering.

Concurrently with the offering, the Company is offering, by means of a separate prospectus supplement, $100 million of shares of its common stock. In addition, B. Riley Principal Investments, LLC (“BRPI”), an affiliate of BRS, has entered into an agreement pursuant to which BRPI has agreed to purchase $75.0 million of the Company’s Series B Preferred Stock in a private transaction to be completed concurrently with the closing of the offering.

FCB is Network of The Year at Cannes Lions 2020/2021

Capping Off FCB’s Record-Breaking Year

NEW YORK, June 25, 2021 (GLOBE NEWSWIRE) — The Cannes Lions International Festival of Creativity announced today that FCB won the coveted Network of the Year title, a first for the network in its 148-year history. After celebrating a momentous week that included Healthcare Network of the Year for FCB Health Network, Healthcare Agency of the Year for AREA 23, an FCB Health Network company, two Titanium wins, five Grand Prix, the prestigious honor of Network of the Year was the crowning achievement for the network. Partial Road Closure at Jalan Utama Berakas Bridge

Part of the road at Jalan Utama Berakas Bridge will be temporarily closed today, 27th of June 2021. The Public Works Department, Ministry of Development in its press release informed that the 3-day closure is to enable repair works on the damaged roads.

 

Road users are reminded to always be cautious when passing through the area, to comply with the traffic signage as well as to obey the speed limit to avoid any undesired events.

Get To Know ASEAN Roadshow

Information on ASEAN is easily accessible to the public through mobile app ‘We ASEAN’. The app is one of the project under SCI, ASEAN- COCI and can be downloaded through Google Play for Android users and App Store for iOS.

 

Information on the app was shared during the Get to Know ASEAN Roadshow organised by the Information Department, the Prime Minister’s Office through the International Affairs Unit as Subcommittee Secretariat of the ASEAN Committee on Culture and Information or ASEAN-COCI at Sayyidina Umar Al-Khattab Secondary School. The briefing was delivered by Dayang Mufidah binti Abdul Hakim, Information Officer as Head of International Affairs Unit, Information Department. The roadshow among others aimed to raise the student’s awareness as part of ASEAN community and to disseminate Brunei Darussalam as ASEAN’s Chair for 2021.

200 beautiful aroid plants were displayed at the Brunei Aroid Showcase 2021 held at The Box in Beribi Telanai.

 

The showcase allowed aroid plants lovers to exchange ideas on plants care tips. The showcase is opened to the public until today from 12 at noon to 8:00 in the evening.

Importance of Physical and Mental Health

The Fitness contest is hoped to motivate the public to practise healthy lifestyle by looking after their physical and mental health with recreational activities, sports and exercise as well as practising a healthy diet.

 

The contest was officiated by Pengiran Mohammad Amirrizal bin Pengiran Haji Mahmud, Permanent Secretary for Administration, Finance and Estate at the Ministry of Culture, Youth and Sports. The contest is among the activities lined up under the Health, Fitness & Safety – HFS Expo 2021. It also featured companies and gathered professionals from health, fitness, well-being and safety industry. Organised by H.U. Advertising, the finals will be held tonight. The 2-day contest was held at The Mall Gadong.

Brunei Youth Forum

Also held in conjunction with the Brunei Mid-Year Conference and Exhibition, MYCE 2021 was Youth Forum Brunei. The Ministry of Culture, Youth and Sports and the Young Professionals Network Brunei, YPN Brunei, organised the First Edition of the forum. It was held yesterday afternoon at the Legislative Council Building.

 

The forum discussed on the Dilemma of Mental Health. The panel members consisted of Dayang Fauziyyah Hanani binti Haji Abdul Manap, Psychologist at the Ministry of Health; Pengiran Salimatul  Sa’ada binti Pengiran Mohd Saleh, Educational Psychologist at the Special Education Unit, Ministry of Education; Awang Fariszal bin Ali, Prison Assistant Counsellor, Prisons Department and Hajah Norajleen Uminatul Hafizan binti Haji Alimas, Counsellor, Mental Health and Addiction Coach at Clarity. The Youth Forum Brunei is a platform set up to encourage constructive dialogue and discussions among youth on current issues of importance to youth and national development.

 

Among those present were Pengiran Mohammad Amirrizal bin Pengiran Haji Mahmud, Permanent Secretary for Administration, Finance and Estate at the Ministry of Culture, Youth and Sports AND Pengiran Haji Mohd Hasnan bin Pengiran Haji Ali Hassan, Permanent Secretary for Strategy and Policy Management at the Ministry of Culture, Youth and Sports. The inaugural Youth Forum Brunei was supported by Brunei Youth Council and ‘Projek Assalamualaikum’ and saw participation of over 500 participants from diverse background across the four districts. The forum was attended physically and virtually.

Solar Energy Tour

The Tenaga Suria Brunei, TSB in Belait District contributed about 0.14 per cent of the country’s total power generation capacity and is operated by the Department of Electrical Services, Ministry of Energy. TSB is a joint project between the Government of His Majesty the Sultan and Yang Di-Pertuan of Brunei Darussalam, Mitsubishi Corporation, Japan and Seria Energy Lab. TSB was among the focus of the first Solar Energy Tour organised as part of the Mid-Year Conference and Exhibition, MYCE Energy Theme Week. The delegation comprised of over 30 participants consisting of Secondary and Sixth Form Centre students, teachers and officers.

 

The delegation was welcomed by Yang Berhormat Dayang Khairunnisa binti Awang Haji Ash’ari, a Member of the Legislative Council as Co-Founder of Green Brunei. Wu Chun, who is also a Go Green advocate in an interactive sharing session also discussed on renewable energy technologies.

Latest on COVID-19 Cases in Brunei Darussalam

Two new imported COVID-19 case were recorded yesterday. The Ministry of Health in its press release on the latest situation of the COVID-19 infection in Brunei Darussalam informed that Case 258 is a 38-year-old man who arrived in the country from Indonesia via Singapore on the 13th of June 2021 and had sore throat for 5 days, cough and lost sense of taste since the 20th of June 2021. Meanwhile, Case 259 is a 39-year-old woman that arrived in the country from Indonesia on the 13th of June 2021 and does not have any symptoms. The investigation and contact tracing have confirmed that there are no close contacts for both cases since they were quarantined upon arrival into the country and all their travel arrangements upon arrival and self-isolation follows the existing standard operating procedure, SOP.

 

Meanwhile, total number of recovered cases remains at 245, while 11 active cases are still being treated at the National Isolation Center.

 

The last local COVID-19 case was reported on the 6th of May 2020. Meanwhile, the number of imported cases since the last local infection case was 118.

 

729 people are undergoing mandatory isolation; while 20,575 people have completed their Mandatory Self Isolation since March 2020.

 

300 sample of SARS Co-V-Two virus test were carried out, bringing the total number of lab tests conducted since January 2020 to 139,503. For more information and the latest developments, visit the Ministry of Health website or contact the Health Advise Line at 148.

The Brunei Darussalam Central Bank

By command of His Majesty Sultan Haji Hassanal Bolkiah Mu’izzaddin Waddaulah ibni Al-Marhum Sultan Haji Omar ‘Ali Saifuddien Sa’adul Khairi Waddien, Sultan and Yang Di-Pertuan of Brunei Darussalam, it is hereby announced that His Majesty has decided to change the name of Autoriti Monetari Brunei Darussalam to Brunei Darussalam Central Bank, BDCB. Following the name change, the Brunei Darussalam Central Bank operation is to be maintained at the current premise, namely the Ministry of Finance and Economy’s building.

 

His Majesty the Sultan and Yang Di-Pertuan of Brunei Darussalam has also commended for the commencement of the Brunei Darussalam Central Bank Act 2021 to be in effective as of Sunday, 27th of June 2021, to replace the current Autoriti Monetari Brunei Darussalam Act. In this regard, His Majesty the Sultan and Yang Di-Pertuan of Brunei Darussalam also consented for the appointment of members of the Brunei Darussalam Central Bank Board of Directors as follows:
